1. Acceptance of Terms

By accessing and using Cloudynic's AI Workspace service, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these terms, please do not use our services.

These Terms & Conditions constitute a legally binding agreement between you and Cloudynic. We reserve the right to update these terms at any time, and your continued use of the service constitutes acceptance of any changes.

2. Use of Services

You agree to use our services only for lawful purposes and in accordance with these Terms. You are prohibited from using our services:

• In any way that violates any applicable national or international law or regulation
• To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
• To impersonate or attempt to impersonate Cloudynic, a Cloudynic employee, another user, or any other person or entity
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the services
• To upload, transmit, or use any malicious prompts, code, or harmful content

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access the service and for any activities or actions under your password. You agree not to disclose your password to any third party and to notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Intellectual Property Rights

The service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Cloudynic and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

You retain all rights to your content and prompts that you input into our AI Workspace. By using our services, you grant us a license to process your inputs to provide the AI services and improve our platform.

5. AI Service Usage and Limitations

While we offer unlimited AI usage, we reserve the right to implement reasonable safeguards to prevent abuse and ensure fair use for all users. We will notify you if your usage patterns raise concerns and work with you to find a suitable solution.

You are responsible for your use of AI-generated content. We recommend reviewing and validating AI outputs before use in critical applications.

6. Payment and No Refund Policy

All payments made to Cloudynic for our services are final and non-refundable. By subscribing to or purchasing any of our services, you acknowledge and agree that:

• All sales are final with no refunds, credits, or exchanges
• You will not receive a refund for any reason, including but not limited to dissatisfaction, non-use, or cancellation
• Payments made are non-reversible and non-transferable
• Subscription fees are charged upfront for the entire billing period and are non-refundable even if you cancel mid-cycle
• Downgrading or canceling your subscription does not entitle you to a refund for the remaining period

We strongly encourage you to carefully review our service offerings before making a purchase. It is your responsibility to ensure the service meets your needs before subscribing.

7. Termination

We may terminate or suspend your account and bar access to the service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms. No refunds will be issued upon termination.

If you wish to terminate your account, you may simply discontinue using the service or contact our support team for account deletion. Upon termination, your right to use the service will immediately cease. You will not receive a refund for any remaining subscription period.

8. Limitation of Liability

In no event shall Cloudynic, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the service.

9. Governing Law

These Terms shall be governed and construed in accordance with applicable laws, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

10. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
